Working directly with one buyer in a “proprietary deal” or “negotiated sale” comes with significant dangers. Buyers who don’t face competition pay less, enforce worse terms, and often extend diligence timelines and re-negotiate at the finish line (why wouldn’t they, after all?)
But, not all unsolicited offers are created equal. Sometimes, if you operate in an industry that trades in a tight band, and the offer is towards the top end of that band, and your counterparty understands that you are prepared to execute a targeted competitive auction in the case of “bad behavior,” a one-off offer can lead to a successful transaction.
